Fee

1. Sincerity fee - RMB5,000, part of sincerity fee will be deduct after the confirmation of successful join, the remaining part is the joining fee. Once the franchisee would like to quit. The sincerity fee,will not be refund.


2. The joining fee will be required when join the "Wellaxin" brand and which is a full pay payment - Joining fee : RMB 1-5 million or more (Provincial Agent fee of RMB 50,000; prefecture-level city agency fee of RMB 30,000; county-level city Agent fee of RMB10,000), the joining fee is as a deposit.


3. After signed the cooperation agreement and paied the joining fee, to ensure the legitimate and effective use of the company's brand. And prevent the franchisee affect our brand image during selling (within the cooperation peroid if franchisee did not against of company regulations, the joining fee can be refunded).


Policy

1.Pre-join support: 

We will provide a valuable assessment to franchisees before joining , including investment budget, operating costs, performance estimates, profit returns, and evaluation of the market , reduce the investment risk; participate in local market research, market competition analysis to ensure the brand successfully expand in market.


2. Market positioning and sale material support:

To provide professional guidance and help, to provide excellent service.


3.Training support: 

We will join the franchisee company and provide professional knowledge in products selling, display, store management training to the staff. And provide 3 free training places to each franchisee. Production and management knowledge, regular and occasional to provide a variety of professional training support. We also provide free of charge "Product Manual", posters and other promotional materials.


4. Product support: 

We will base on the situation of franchisees, to provide the product distribution guide, price , inventory guidance, etc. In difference seasons ,holidays, anniversary and other season to provide a variety of promotional products, gifts to franchisee to choice,  to make the promotion more attractive.


5. Marketing support: 

Evaluation of the consumer facts and sales situation, planning the annual marketing program, including daily, holiday, seasonal, Spring and Autumn two large-scale promotion programs to help franchisees understand the market direction and the opportunity to improve sales performance.


6. Visiting support: 

Wellaxin will sent the market supervision regularly to provide store display guidance and help to enhance the visual effects of products to enhance the brand image, and help franchisees to solve difference problems.


7. Logistics support: 

Free provide the most efficient logistics and distribution to customers. On time and security distribution for the franchisee.


8. Zero inventory support: 

Goods can be exchange within 10 days, but goods must be in good quality and without affecting the second sale.


9. Enocurage programme:

Once franchisee complete the sales targets task, we will give the franchisee rebate on proportion as a reward. In each quarterly and annual, we will according to the performance of each region to design the nocurage programs.


Franchisee duties

1.To comply with the provisions ,terms and conditions, and subject to the company's unified planning and management, to accept the company's daily supervision.


2.In the franchise area agreed to actively promote products and Wellaxin brand, and actively develop and expand the market


3. In the franchisees' region, franchisees is the main channel to be in touch with the market and customer. Franchisees have commitment to sales, services and every matters;

4. No matter franchisee terminate the contract or not, must be protect the company's trade secrets, if not, we will retain the right to pursue legal action;


5. Franchisee is responsible for their joining regional of market investigation and analysis, give feedback regarding the market information timely.


6. each franchisee must complete tasks and expedition once a year, to accept the company's annual audit.


7., if any conflict between the franchisees, must follow our coordination suggestion.


Termination, Quit, transfer 

1. Termination: 

Franchisee against the provisions or due to the development needs of our company.

1.1 Franchisee has one of the following circumstances, we may terminate the partnership with the franchisee:

1.1.1 Not fulfil joining provisions ,terms and conditions;

1.1.2 Against the regulations by delibrate or inadvertently fault.

1.1.3 Against the regulations and not willing to make correction or response;

1.1.4 Franchisee financial situation deteriorated, business downturn can not operate normally;

1.1.5 Franchisee without our permission to stop business;

1.1.6 Any action to damage the Wellaxin brand image, reputation, credit.

1.2 The termination transition period is 30 days.After termination, if the franchisee does not against the laws and regulations and damage the brand image. We will return the the deposit to franchisee within 15 days after the termination of the transition period. If the franchisee against the laws and regulations, or damage Wellaxin brand image, we have the right to confiscate the deposit and  we will retain the right to pursue legal action to recover economic and brand losses.


2. Quit: 

Franchisee have their own reasons, proposed to terminate the relationship with us.

2.1 If franchisee would like to terminate the cooperation,can submit a "terminate of cooperation notice" to us in 60 days before the termination, after our approve that franchisee does not against any provisions ,terms and conditions, without affect Wellaxin brand image, reputation, credit,we will allow franchisees to quit.


3. Transfer: 

Franchisee have their own reasons, proposed to terminate the relationship with us. And franchisee would like to transfer the regional management rights to other franchisees.

3.1 Franchisee has been operating for a period of time, if franchisee would like to transferred the management right to another person, franchisees does not have any creditor's rights or debts ( if the creditor's rights and liabilities are not clear, we may according to the situation to terminate the cooperation or retrieve the regional management rights), franchisee must submit a written application,and need approved,then the franchisee can start the transfer procedures, otherwise the transfer is invalid.


Additional Provisions

1. Hong Kong Lixin Group Co., Ltd. has the right to explain the terms and conditions of the system and supervise.

2. Any terms and conditions can not show in here, will be negotiate with the franchisee and written on the supplementary document.

3. Franchisee must accept all the terms and condition, if there any against of the terms and conditions, Hong Kong Lixin Group Co., Ltd. has the right to terminate the cooperation.

4, Hong Kong Lixin Group Co., Ltd. and the franchisee between the disputes arising from the two sides to resolve, if not agreed, by the Hong Kong Lee letter Group Co., Ltd. court ruled.

5.This additional Provisions as a part of the franchise contract and the same legal effect with the franchise contract.

 

Quarter bonus program, franchisees achieve in each quarter:
